RELATIONSHIP TO SECTION 2. Any proposed Transfer by any Employee Stockholder of Tag-Along Shares pursuant to this Section 2.5 is exempt from Section 2.4, PROVIDED that Voteco or Colony III shall have the right to acquire the Tag-Along Shares on the same terms and at the same time as such shares would otherwise be sold to the Third Party.
