Common use of Release Agreements Clause in Contracts

Release Agreements. The Company shall use its best efforts, on behalf of Parent and pursuant to the request of Parent, to cause each Person identified in Section 5.10 of the Company Disclosure Schedule to execute and deliver to Parent a written release and waiver satisfactory in form and substance to Parent in its sole discretion and in substantially the form attached hereto as Exhibit C (the "Release Agreements") prior to the Effective Time, providing for, among other things, release of the Company, Parent and the Surviving Corporation and their respective Affiliates from any and all claims, known and unknown, that such Person has or may have against such Persons through the Effective Time.

The Company shall use its best efforts, on behalf of Parent and pursuant to the request of Parent, to cause each Person identified in Section 5.10 6.6 of the Company Disclosure Schedule to execute and deliver to Parent a written release and waiver satisfactory in form and substance to Parent in its sole discretion and in substantially the form attached hereto as Exhibit C B (the "“Release Agreements") prior to ”), dated as of the Effective Time, providing for, among other things, release of the Company, Parent and the Surviving Corporation and their respective Affiliates from any and all claims, known and unknown, that such Person has or may have against such Persons through the Effective Time.
