Common use of Release and Hold Harmless Clause in Contracts

Release and Hold Harmless. KHS shall release and hold harmless Contractor, and Contractor’s agents, board members, officers, employees, agents, volunteers, and authorized representatives from, and Contractor shall be excused from any obligations of indemnification related to, any claims arising in connection with: (i) the violation by any materials provided by KHS of the intellectual property rights of a third party; (ii) KHS’s failure to obtain any consents or approvals required by applicable law; (iii) KHS’s violation of any law applicable to its obligations; or (iv) KHS’s gross negligence or willful misconduct.
