Common use of Release and Indemnification Covenants Clause in Contracts

Release and Indemnification Covenants. The District hereby indemnifies the Corporation, the Assignee and their respective officers, agents, successors and assigns against all claims, losses and damages, including legal fees and expenses, arising out of (a) the use, maintenance, condition or management of, or from any work or thing done on the Leased Property by the District, (b) any breach or default on the part of the District in the performance of any of its obligations under this Lease-Purchase Agreement, (c) any negligence or willful misconduct of the District or of any of its agents, contractors, servants, employees or licensees with respect to the Leased Property, (d) any intentional misconduct or negligence of any sublessee of the District with respect to the Leased Property, (e) the acquisition, construction, improvement and equipping of the Leased Property, or (f) the clean-up of any hazardous materials or toxic wastes from the Leased Property, or the authorization of payment of the costs thereof. No indemnification is made under this Section or elsewhere in this Lease-Purchase Agreement for willful misconduct or gross negligence under this Lease-Purchase Agreement by the Corporation, the Assignee, or their respective officers, agents, employees, successors or assigns.

The District City hereby indemnifies agrees to indemnify the CorporationAuthority, the Assignee and their respective directors, officers, employees, agents, successors and assigns against all claims, losses and damages, including legal fees and expenses, arising out of (a) the use, maintenance, condition or management of, or from any work or thing done on the Leased Property by the DistrictCity, (b) any breach or default on the part of the District City in the performance of any of its obligations under this Lease-Purchase Agreement, (c) any negligence or willful misconduct of the District City or of any of its agents, contractors, servants, employees or licensees with respect to the Leased Property, (d) any intentional misconduct or negligence of any sublessee of the District City with respect to the Leased Property, (e) the acquisition, construction, improvement and equipping of the Leased Property, or (f) the use, presence, storage, disposal or clean-up of any hazardous materials Hazardous Substances or toxic wastes from on the Leased Property, Property or (g) the authorization of payment of the costs thereoffailure to comply with any Applicable Environmental Laws. No indemnification is made under this Section or elsewhere in this Lease-Purchase Agreement Lease for willful misconduct or gross negligence under this Lease-Purchase Agreement Lease by the CorporationAuthority, the Assignee, Assignee or their respective officers, agents, employees, successors or assigns.

The indemnification provided by the District under this Section shall survive the termination of this Lease.
