Release by Retiring Party Clause Samples

Release by Retiring Party. The Retiring Party releases the Continuing Party from: (a) any obligation or Liability under or in respect of the Contract; and (b) any action, Claim and demand it has, or but for this clause would have had against the Continuing Party under or in respect of the Contract, which arise on or after the Effective Date, except that nothing in this clause affects the obligations of the Continuing Party to the Substitute Party under the Contract which arise on or after the Effective Date.
Release by Retiring Party. (a) The Retiring Party, on the Effective Date, releases the Continuing Party from: - i. any obligation and liability under or in respect of the Distribution Agreement; and ii. any action, claim and demand it has, or but for this clause 2.3 would have had, against the Continuing Party under or in respect of the Distribution Agreement. (b) The Retiring Party gives this release regardless of: - i. when the obligation, liability, action, claim or demand arises; and ii. whether or not it is now or in the future aware of the facts and circumstances relevant to any obligation, liability, action, claim or demand.
