Common use of Release of Liability to Associated Persons Clause in Contracts

Release of Liability to Associated Persons. Procure that the Company is released unconditionally from all liability and obligations whatsoever (whether actual or contingent) to the Vendor or any Associated Persons of the Vendor. If such release is not or cannot properly be provided on or before Completion then the Vendor will indemnify the Company and the Purchaser from and against all Costs and Proceedings in respect of such liability and obligations. Liabilities and obligations incurred in respect of normal trade purchases or transactions on usual commercial terms for payment and performance shall not be required to be so released;
