Release of Liens and Encumbrances. Buyer shall have received from the Seller duly and validly executed copies of all agreements, instruments, certificates and other documents, in form and substance acceptable to Buyer, that are necessary or appropriate to evidence the release of all Liens and Encumbrances and satisfy all Indebtedness identified on Schedule 5.2(g).
