Common use of Release of Parent Guarantor and Termination of Parent Guarantee Clause in Contracts

Release of Parent Guarantor and Termination of Parent Guarantee. If Parent and the Company merge with each other or consolidate together in a transaction permitted by Sections 5.01 and 5.02, then the Parent Guarantee shall automatically be terminated upon the consummation of such merger or consolidation and shall no longer have any effect from such time without any further action required on the part of the Trustee or any Holder. At the request of the Company, the Trustee shall execute and deliver an appropriate instrument evidencing such termination.
