Common use of Release of the Seller Clause in Contracts

Release of the Seller. The Buyer, and its successors and assigns, in consideration of the benefits afforded to it in consequence of the execution of this Agreement, does hereby release and waive, irrevocably, any and all rights, claims, causes of action, of every kind and nature, whether or not known or anticipated or asserted or unasserted, that they or any of them has or may have, directly or indirectly, against the Seller and, as applicable, its partners, officers, agents and directors (said partners, officers, agents and directors being intended beneficiaries of this provision), but excluding rights, claims and causes of action arising out of or in relation to the breach or inaccuracy of any representation or warranty made by the Seller in this Agreement or the breach of any agreement or undertaking of the Seller set forth in the Agreement.
