Common use of Release or Reconveyance Clause in Contracts

Release or Reconveyance. (1) Upon payment in full of the Indebtedness and performance in full of the Obligations, and subject to the terms of the Term Loan Credit Agreement, (2) upon the Mortgaged Property becoming subject to the release provisions set forth in the Term Loan Credit Agreement (including upon a sale or other disposition of the Mortgaged Property permitted by the Term Loan Credit Agreement), and/or (3) to the extent the Mortgaged Property is Excluded Collateral, then Mortgagee, at Mortgagor’s request and expense, shall release the liens and security interests created by this Mortgage or reconvey the Mortgaged Property to Mortgagor.

Release or Reconveyance. (1) Upon payment in full of the Indebtedness and performance in full of the ObligationsObligations (other than contingent indemnification obligations as to which no claim has been asserted), and subject to the terms of the Term Loan Credit Agreement, (2) upon the Mortgaged Property becoming subject to the release provisions set forth in the Term Loan Credit Agreement (including upon a sale or other disposition of the Mortgaged Property Property, or any portion thereof, permitted by the Term Loan Credit Agreement)Agreement (including as a result of the sale of the Equity Interests of the Mortgagor) or the Mortgagor becoming and Excluded Subsidiary, and/or (3) to the extent the Mortgaged Property is Excluded Collateral, then Mortgagee, at Mortgagor’s request and expense, shall promptly release the liens and security interests created by this Mortgage or reconvey the Mortgaged Property to MortgagorMortgagor with respect to the portion of the Mortgaged Property so released or reconveyed.
