Common use of Release Required Clause in Contracts

Release Required. Notwithstanding anything herein to the contrary, you agree that the provisions of Sections 6 and/or 7 above (as applicable) will not apply unless and until (i) you have executed a general release agreement in substantially the form of Exhibit "A" attached hereto of all known and unknown claims that you may then have against HNC and/or persons or entities affiliated with HNC due to your termination of employment or any Deemed Termination (the "RELEASE AGREEMENT") and (ii) you have agreed not to prosecute or bring any legal action or other proceeding based upon any of such claims. Upon your execution and delivery of such Release Agreement, HNC will enter into a Limited Release Agreement with you in the form of Exhibit "B" attached hereto.
