Releases and Settlement Clause Samples

The "Releases and Settlement" clause serves to formally resolve disputes or claims between parties by having one or both sides agree to relinquish any further legal rights or claims related to a specific matter. In practice, this clause typically applies when parties reach an agreement to settle a disagreement, often involving payment, performance, or other consideration, and includes language confirming that no further action will be taken regarding the settled issue. Its core function is to provide finality and certainty, ensuring that once a dispute is settled, neither party can pursue additional claims on the same subject, thereby preventing ongoing or future litigation.
Releases and Settlement. Each Party releases and forever discharges the other Party, as well as its officer, directors, owners, and agents, from any and all liabilities and claims, in law or in equity, whether known or unknown, foreseen or unforeseen, arising or prior to the date hereof out of or relating to the Grant Agreement and all actions and matters related thereto. The forgoing release does not release any of the Partiesrights and obligations under this Agreement. No Party may make any claims arising out of the Grant Agreement or related to the Grant Obligations, except for the enforcement of the rights and obligations contained in this Agreement.
