Releases under Certain Contracts. Following the Closing, Purchaser shall use its commercially reasonable efforts not including the payment of money to procure the release by the applicable counterparty of any post-closing obligation of Seller or its Affiliates with respect to any Company Lease, Lease Agreement, Material Contract, Assigned Contract or other Contract to which Seller or its Affiliates is a party and shall indemnify and hold harmless Seller and its Affiliates from and against any Liability resulting from or relating to any such obligation.

Without limiting the generality of the foregoing, following the Closing, Purchaser will (i) use its commercially reasonable efforts to procure the release by the applicable counterparty of any continuing obligation of any Sellers or their Affiliates (other than the Indian Entity) with respect to the guarantees set forth on Section 5.02 of the Disclosure Letter and (ii) indemnify and hold harmless the Sellers and their Affiliates from and against any Liability directly resulting from any continuing obligation of any Seller or their Affiliates with respect to any Seller Guarantee (other than any Liability with respect to which any Purchaser Indemnified Party is indemnified by Sellers pursuant to Article XII).
