Relevant Approvals Sample Clauses

Relevant Approvals. All necessary permits, consents, authorizations, approvals, and licenses in connection with or for Lessor’s executing this Agreement and leasing the Leased Property to Lessee have been properly obtained, and the Lessor has complied with such permits, licenses, approvals, and authorizations.

Relevant Approvals. If the Participating Shares are listed on the Official List of the Channel Islands Securities Exchange Limited and/or any other stock exchange when the Conversion Rights (as defined below) are exercised, the Borrower shall procure and do all that is required (including but not limited to preparing a listing document (if so required)) for the Conversion Shares to be admitted to, and trading on, the Official List of the Channel Islands Securities Exchange Limited and/or the relevant stock exchange (as the case may be), and as will enable the Conversion Rights and all other rights of subscription and exchange for and conversion into Participating Shares to be satisfied in full.

Relevant Approvals. All necessary votes, resolutions, consents, authorizations, approvals, and licenses in connection with or for Lessor’s executing this Agreement and leasing the Leased Property to Lessee have been properly obtained.

Relevant Approvals. The Management Agreement does not require any relevant approvals from shareholders of MCHB or any relevant authority.

Relevant Approvals. Gas Networks Ireland shall use reasonable endeavours to procure all Relevant Approvals and conclude all agreements necessary for the performance of its obligations under this Connection Agreement in a timely manner immediately following the Agreement Date. Obligations during period of the Works: Gas Networks Ireland shall: use reasonable endeavours to ensure that the Works are undertaken and completed so as to achieve Substantial Completion by the Target Completion Date; provide to the Company a reasonably detailed Programme for the completion of the Works; continually monitor the progress of the Works against the then current Programme and provide to the Company a monthly progress report on the Works or within such other timeframe as agreed between the Parties; on the occurrence, or likely occurrence, of an event or circumstance referred to in Clause 5.5 or following the occurrence of an event or circumstances of Force Majeure, notify the Company of the particular event or circumstance as soon as reasonably practicable, after it becomes aware and provide information regarding the nature and likely duration of the event or circumstance and the impact it is likely to have on the Programme and, where applicable, on the Development and Construction Costs; and as soon as practicable following the notification given under Clause 5.3.4, provide to the Company an updated Programme and, where applicable, include a revised Target Completion Date.

Relevant Approvals. Any waiting period under the HSR Act shall have been terminated or expired and the other Relevant Approvals shall have occurred or shall have been obtained.
