Among the facts considered were the following: (a) a conviction (including a guilty plea) would likely result in Xxxxxx’x mandatory exclusion from all federal health care programs under 42 U.S.C. § 1320a-7 for a period of at least five years, which would result in substantial consequences to the corporation’s employees and customers outside the federal health care programs; (b) Sandoz timely agreed to cooperate in the United States’ ongoing investigation into criminal antitrust violations among generic drug manufacturers; (c) Sandoz’s cooperation has allowed the United States to advance its investigation into criminal antitrust conspiracies among other manufacturers of generic drugs; (d) Sandoz’s cooperation remains ongoing; and (e) this Agreement can ensure that integrity has been restored to Sandoz’s operations and preserve its financial viability while preserving the United States’ ability to prosecute it should material breaches occur. Relevant Considerations. 4. The Office enters into this Agreement based on the individual facts and circumstances presented by this case and the Company. Among the factors considered were the following: (a) the Company’s substantial cooperation, including conducting an internal investigation, voluntarily making U.S. and foreign employees available for interviews, and collecting, analyzing, and organizing voluminous evidence and information for the Office; (b) the Company’s improvements to date to its compliance program and internal controls, as well as its commitment to continue to enhance its compliance program and internal controls, including ensuring that its compliance program satisfies the minimum elements set forth in Attachment C to this Agreement; (c) the nature and scope of the offense conduct; and (d) the Company’s agreement to continue to cooperate with the Office in any ongoing investigation of the conduct of the Company and its officers, directors, employees, and agents relating to possible violations under investigation by the Office as provided in Paragraph 5 below.
