Common use of Reliance by Bank Clause in Contracts

Reliance by Bank. The Bank shall be entitled to rely and act upon any notice or other communication (including any email or telephonic notice or communication) reasonably believed by it to be genuine and correct and to have been signed or sent by or on behalf of the proper Person or Persons. To the extent permitted by applicable law, the City shall indemnify the Bank and the Related Parties of the Bank from all losses, costs, expenses and liabilities resulting from the reliance by such Person on each notice given by or on behalf of the City. All telephonic notices to and other telephonic communications with the Bank may be recorded by the Bank, and the City hereby consents to such recording.
