Reliance by Seller. The Shareholder understands and acknowledges that Seller is entering into the Merger Agreement in reliance upon the Shareholder’s execution and delivery of this Agreement and the representations and warranties of Shareholder contained herein.
Reliance by Seller. No representation or warranty set forth in this Section 3 contains or shall contain any untrue statement of a material fact or, omits or will omit to state a material fact necessary to make the statements contained herein and therein, when taken together, not misleading. Seller may rely on the representations set forth in this Section 3 notwithstanding any investigation he may have made.
Reliance by Seller. Such Stockholder understands and acknowledges that Seller is entering into the Purchase Agreement in reliance upon the execution and delivery of this Agreement by the Stockholders.
Reliance by Seller. Purchaser understands that the foregoing representations and warranties are to be relied upon by Seller as a basis for exemption of the sale of the Interests under the Securities Act and under the securities laws of all applicable states and for other purposes.
Reliance by Seller. Seller represents and warrants to Buyer that it has been advised that the Shares have not been and are not being registered under the Securities Act or under the "blue sky" laws of any jurisdiction and that the Buyer, in issuing the Shares to the Seller, is relying upon, among other things, the representations and warranties of Seller contained in Sections 3.12-3.15 in concluding that such issuance is a "private offering" and does not require compliance with the registration provisions of the Securities Act.
Reliance by Seller. In entering into this Agreement, in selling the Common Stock and in consummating the other transactions contemplated herein, the Seller has relied solely upon its own investigation and the express representations and warranties of the Buyer set forth in Article IV of this Agreement, and neither the Buyer nor its respective officers, directors, shareholders, employees, affiliates, agents or representatives has made any representation or warranty as to the Buyer or this Agreement, except as expressly set forth in this Agreement. Seller is not aware of any breach of, or any inaccuracy in, any of the representations and warranties made by it in this Agreement.
