Common use of Reliance by Third Parties Clause in Contracts

Reliance by Third Parties. Any person or entity dealing with the Company may rely upon a certificate signed the [Manager/Managing Member] of the Company, or signed by any Secretary or Assistant Secretary of the Company as to: a) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and b) the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Reliance by Third Parties. Any person or entity Person dealing with the Company may rely upon on a certificate signed by the [Manager/Managing Member] of the Company, or signed by any Secretary or Assistant Secretary of the Company Manager as to: (a) the persons identity of the Member, the Manager, or any officer of the Company; (b) the existence or non-existence of any fact or facts which constitute a condition precedent to acts by the Manager or are in any matter germane to the affairs of the Company; (c) the Persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and; or b(d) any act or failure to act by the persons who Company or entities which are authorized to take any action or refrain from taking any action as to any other matter whatsoever involving the Company.

Reliance by Third Parties. Any person or entity dealing with the Company Company, the ---------------------------- Managers or any Member may rely upon a certificate signed by any Manager as to (i) the [Manager/Managing identity of any Manager or Member] ; (ii) any factual matters relevant to the affairs of the Company, or signed by any Secretary or Assistant Secretary of the Company as to: a; (iii) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and b; or (iv) the persons who or entities which are authorized to take any action taken or refrain from taking any action as omitted to any matter whatsoever involving be taken by the Company, the Managers or any Member.

Any person or entity Person dealing with the Company, the Directors or any Officer or employee of the Company may rely upon a certificate signed by the [Manager/Managing Member] of the Company, or signed by any Secretary or Assistant Secretary of the Company Member as to: (a) the identity of any of the Managing Member, any Director or Officer; (b) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and; or b(c) any act or failure to act by the persons who Company or entities which are authorized to take any action or refrain from taking any action as to any other matter whatsoever involving the Company.

Any person or entity dealing with the Company or any Member may rely upon a certificate signed by the [Manager/Managing Majority Member or any Officer as to (i) the identity of any other Member] ; (ii) any factual matters relevant to the affairs of the Company, or signed by any Secretary or Assistant Secretary of the Company as to: a; (iii) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and b; or (iv) the persons who or entities which are authorized to take any action taken or refrain from taking any action as to any matter whatsoever involving omitted by the Company, or any Member.

Reliance by Third Parties. Any person or entity dealing with the Company LLC, the Managers or any Member may rely upon a certificate signed by all the [Manager/Managing Member] Managers as to (a) the identity of any Managers or Members; (b) any factual matters relevant to the affairs of the Company, or signed by any Secretary or Assistant Secretary of the Company as to: aLLC; (c) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and bLLC; or (d) the persons who or entities which are authorized to take any action taken or refrain from taking omitted by the LLC, the Managers or any action as to any matter whatsoever involving the CompanyMember.

Reliance by Third Parties. Any person or entity dealing with the Company Company, the Managers or any Member may rely upon a certificate signed by any Manager as to (i) the [Manager/Managing identity of any Manager or Member] ; (ii) any factual matters relevant to the affairs of the Company, or signed by any Secretary or Assistant Secretary of the Company as to: a(iii) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and b; or (iv) the persons who or entities which are authorized to take any action taken or refrain from taking any action as to any matter whatsoever involving omitted by the Company, the Managers or any Member.

Any person or entity Person dealing with the Company Company, the Directors or any Member may rely upon a certificate signed by all of the [Manager/Managing Member] Directors as to: (a) the identity of any Directors or Members; (b) any factual matters relevant to the affairs of the Company, or signed by any Secretary or Assistant Secretary of the Company as to: a; (c) the persons Persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and b; or (d) the persons who or entities which are authorized to take any action taken or refrain from taking any action as to any matter whatsoever involving omitted by the Company, the Directors or any Member.

Reliance by Third Parties. Any person or entity dealing with the Company may rely upon a certificate signed by the [Manager/Managing Member] Member or the Manager of the Company, or signed by any Secretary or Assistant Secretary of the Company as to: a) the 10.1 The persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, ; and b) the 10.2 The persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Reliance by Third Parties. Any person or entity dealing with the Company Person may rely upon a certificate signed by all of the [Manager/Managing Member] Managers on the Board as to (a) the identity of the Members, (b) any factual matters relevant to the affairs of the Company, or signed by any Secretary or Assistant Secretary of the Company as to: a(c) the persons Persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company or (d) any action taken or omitted by the Company, and b) the persons who Board or entities which are authorized any Member with respect to take any action or refrain from taking any action as to any matter whatsoever involving the business of the Company.

Reliance by Third Parties. Any person or entity dealing with the Company or the Manager may rely upon a certificate signed by the [Manager/Managing Member] of the Company, or signed by any Secretary or Assistant Secretary of the Company Manager as to: : (a) the persons who or entities which are authorized to execute executed and deliver any instrument or document of or on behalf of the Company, and ; (b) the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Reliance by Third Parties. Any person or entity Person dealing with the Company, the Managers or any officer or employee of the Company may rely upon a certificate signed by the [Manager/Managing Member] of the Company, or signed by any Secretary or Assistant Secretary of the Company CEO as to: (a) the identity of any of the CEO, any Manager or Officer; (b) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and; or b(c) any act or failure to act by the persons who Company or entities which are authorized to take any action or refrain from taking any action as to any other matter whatsoever involving the Company.

Reliance by Third Parties. Any person or entity dealing with the Company may rely upon a certificate signed the [Manager/Managing Member] of the Company, or signed by any Secretary or Assistant Secretary of the Company as to: a) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and b) the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Reliance by Third Parties. Any person or entity Person dealing with the Company Company, the Managers or any Member may rely (without duty of further inquiry) upon a certificate signed by any Manager as to (a) the [Manager/Managing Member] identity and authority of a Manager to act on behalf of the Company, or signed by ; (b) any Secretary or Assistant Secretary factual matters relevant to the affairs of the Company as to: aCompany; (c) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and b; or (d) the persons who or entities which are authorized to take any action taken or refrain from taking any action as to any matter whatsoever involving omitted by the CompanyCompany or the Managers.

Reliance by Third Parties. Any person or entity dealing with the Company Person may rely upon a certificate signed by the [Manager/Managing Member] Managers as to (a) the identity of the Company, Managers or signed by Members; (b) any Secretary or Assistant Secretary factual matters relevant to the affairs of the Company as to: aor any Series; (c) the persons Persons who or entities which are authorized to execute and deliver any instrument document on behalf of the Company generally or document of with respect to any Series or on behalf of the Company, and bany Series; or (d) the persons who or entities which are authorized to take any action taken or refrain from taking omitted by the Company or any action as Series, the Managers or any Member with respect to the business of the Company or any matter whatsoever involving the CompanySeries.

Reliance by Third Parties. Any person or entity dealing with the Company may rely upon a certificate signed the [Manager/Managing Member] by any Secretary or Assistant Secretary of the Company, or signed by any Secretary or Assistant Secretary of the Company Member as to: a(i) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and b(ii) the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Reliance by Third Parties. Any person or entity Person dealing with the Company may rely upon a certificate signed the [Manager/Managing Member] of the Company, by a Manager or signed by any Secretary or Assistant Secretary of the Company an appropriate officer as to: (a) the persons identity of the Managers; (b) the existence or nonexistence of any fact or facts which constitute a condition precedent to acts by the Board or in any other manner germane to the affairs of the Company; (c) the Persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, ; and b(d) any act or failure to act by the persons who Company or entities which are authorized to take any action or refrain from taking any action as to any other matter whatsoever involving the CompanyCompany or any Member.

Reliance by Third Parties. Any person or entity Person dealing with the Company or the Managing Member may rely upon a certificate signed by the [Manager/Managing Member] Member (or any one or more of its agents designated by the Company, Managing Member for such purpose or signed by any Secretary or Assistant Secretary of the Company given such authority) as to: a) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and b) the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Reliance by Third Parties. Any person or entity Person dealing with the Company Company, the Managers or any Member may rely (without duty of further inquiry) upon a certificate signed by any Manager as to (a) the [Manager/Managing Member] identity and authority of a Manager or Member to act on behalf of the Company, or signed by (b) any Secretary or Assistant Secretary factual matter relevant to the affairs of the Company as to: aCompany, (c) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company or (d) any action taken or omitted by the Company, and b) the persons who Managers or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the CompanyMember.

Reliance by Third Parties. Any person or entity dealing with the Company may rely upon on a certificate signed by the [Manager/Managing Member] of the Company, or signed by any Secretary or Assistant Secretary of the Company Manager as to: a(i) the persons who identity of the Manager; (ii) the existence or entities non-existence of any fact or facts which constitute a condition precedent to acts by the Member or are authorized in any matter germane to execute and deliver any instrument or document of or on behalf the affairs of the Company, and; b(iv) any act or failure to act by the persons who Company or entities which are authorized to take any action or refrain from taking any action as to any other matter whatsoever involving the Company.

Reliance by Third Parties. Any person or entity dealing with the Company Person may rely upon a certificate signed by the [Manager/Managing Member] Member as to (a) the identity of the Managing Member or Members, (b) any factual matters relevant to the affairs of the Company, or signed by any Secretary or Assistant Secretary of the Company as to: a(c) the persons Persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company or (d) any action taken or omitted by the Company, and b) the persons who Managing Member or entities which are authorized any Member with respect to take any action or refrain from taking any action as to any matter whatsoever involving the business of the Company.

Any person or entity dealing with the Company may rely upon a certificate signed by the [Manager/Managing Member] of the Company, or signed by any Secretary or Assistant Secretary of the Company as to: a(1) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and b(2) the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Any person or entity Person dealing with the Company may rely upon a certificate signed by the [Manager/Managing Member] of the Company, or signed by any Secretary or Assistant Secretary of the Company as to: a(i) the persons identity of any Manager, Member or Officer; (ii) the existence or non-existence of any fact or facts which constitute a condition precedent to acts by the Board of Managers, Members or Officers or which are in any other manner germane to the affairs of the Company; or (iii) the identity of Officers, Managers or other Persons who or entities which are authorized to execute and deliver any document, agreement or instrument or document of or on behalf of the Company, and b) the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Reliance by Third Parties. Any person or entity dealing with the Company Company, the Directors or any Member may rely upon a certificate signed by any Director so authorized to sign such certificate by a majority of the [Manager/Managing Directors pursuant to Section 3.7 as to (i) the identity of any Director or Member] ; (ii) any factual matters relevant to the affairs of the Company, or signed by any Secretary or Assistant Secretary of the Company as to: a; (iii) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and b; or (iv) the persons who or entities which are authorized to take any action taken or refrain from taking any action as to any matter whatsoever involving omitted by the Company, the Directors or any Member.

Reliance by Third Parties. Any person or entity dealing with the Company Company, the Manager or any Member may rely upon a certificate signed by any Manager as to (a) the [Manager/Managing identity of any Manager or Member] ; (b) any factual matters relevant to the affairs of the Company, or signed by any Secretary or Assistant Secretary of the Company as to: a; (c) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and b; or (d) the persons who or entities which are authorized to take any action taken or refrain from taking any action as to any matter whatsoever involving omitted by the Company, the Manager or any Member.

Any person or entity dealing with the Company or the Managing Member may rely upon a certificate signed by the [Manager/Managing Member] Member as to matters pertaining to the identity of the Managing Member and any officers of the Company and germane to the business affairs of the Company, or signed by any Secretary or Assistant Secretary of the Company as to: a) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and b) the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Reliance by Third Parties. Any person Person or entity dealing with the Company may rely upon a certificate signed the [Manager/Managing Member] by a member of the Company, or signed by any Secretary or Assistant Secretary of the Company Board as to: : (a) the persons who or entities Persons which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and (b) the persons who or entities which are authorized to take authorization of any action by or refrain from taking on behalf of the Company by the Board or any action officer or agent acting on behalf of the Company or (c) any act or failure to act by the Company or as to any other matter whatsoever involving the CompanyCompany or the Members.

Any person or entity dealing with the Company may rely upon a certificate signed the [Manager/Managing Member] Member of the Company, or signed by any Secretary or Assistant Secretary of the Company as to: a) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and b) the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Any person or entity dealing with the Company may rely upon a certificate signed by the [Manager/Managing Member] President or Secretary of the Company, or signed by any Secretary the President or Assistant Secretary of the Company Member, as to: a(i) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and b(ii) the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Reliance by Third Parties. Any person or entity Person dealing with the Company may rely upon a certificate signed the [Manager/Managing Member] of the Company, or signed by any Secretary or Assistant Secretary on behalf of the Company as to: a) by any Director or by the persons who Secretary (or entities which are authorized an Assistant Secretary, if appointed), to execute and deliver establish the membership of any instrument Shareholder, the authenticity of any records of the Company or document the authority of any Person, including the certifying Director or Secretary, to act on behalf of the Company, and b) the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Reliance by Third Parties. Reliance by Third Parties.
