The representations and warranties in the Subscription Agreement (including the first (cover) page, the Terms on pages 13 to 21, the General Provisions on pages 16 to 25 and the other schedules and appendixes incorporated by reference) are made by the Purchaser with the intent that they be relied upon by the Issuer in determining its suitability as a purchaser of Purchased Securities, and the Purchaser hereby agrees to indemnify the Issuer against all losses, claims, costs, expenses and damages or liabilities which any of them may suffer or incur as a result of reliance thereon.
