Common use of Reliance on and Survival of Representations and Warranties Clause in Contracts

Reliance on and Survival of Representations and Warranties. All representations and warranties of the parties in this Agreement, and in any of the certificates, documents or other agreements delivered in connection with this Agreement, will: (a) be deemed to have been relied upon by the parties, notwithstanding any investigation hereto or hereafter made by any party; and (b) will survive the execution and delivery of this Agreement.
