Common use of Reliance on and Survival of Representations Clause in Contracts

Reliance on and Survival of Representations. All agreements, representations and warranties of the Company herein and in any certificates or other instruments delivered pursuant to this Agreement shall (a) be deemed to be material and to have been relied upon by the Agent and the Lenders, notwithstanding any investigation heretofore or hereafter made by the Agent and the Lenders or on their behalf and (b) survive the execution and delivery of this Agreement and of the Notes, and shall continue in effect so long as any Note or Obligation is outstanding and thereafter as provided in Sections 10 and 12.1.

Reliance on and Survival of Representations. All agreements, representations and warranties of the Company or any partner of the Company herein and in any certificates or other instruments delivered pursuant to this Agreement shall (aA) be deemed to be material and to have been relied upon by the Agent and the Lendersyou, notwithstanding any investigation heretofore or hereafter made by the Agent and the Lenders you or on their behalf your behalf, and (bB) survive the execution and delivery of this Agreement and the delivery of the NotesNotes to you, and shall continue in effect so long as any Note or Obligation is outstanding and thereafter as provided in Sections 10 Section 15 and 12.1Paragraph 16.1.

All agreements, representations and warranties of the Company herein contained in this Agreement and in any certificates or other instruments delivered pursuant to this Agreement shall (ai) be deemed to be material and to have been relied upon by the Agent and the LendersPurchasers, notwithstanding any investigation heretofore or hereafter made by the Agent and the Lenders Purchaser or on their behalf behalf, and (bii) survive the execution and delivery of this Agreement and of the Notes, and shall continue in effect so long as any Note or Obligation is outstanding and thereafter as provided in Sections 10 11 and 12.1.

All agreements, representations and warranties of the Company Guarantor herein and in any certificates or other instruments delivered pursuant to this Agreement shall (a) be deemed to be material and to have been relied upon by the Agent and the Lenders, notwithstanding any investigation heretofore or hereafter made by the Agent and the Lenders or on their behalf and (b) survive the execution and delivery of this Agreement and of the Notes, and shall continue in effect so long as any Note or Obligation is outstanding and thereafter as provided in Sections 10 and 12.1.
