Common use of Reliance on and Survival of Various Provisions Clause in Contracts

Reliance on and Survival of Various Provisions. All terms, covenants, agreements, representations and warranties of the Company made herein or in any certificate, report, financial statement or other document furnished by or on behalf of the Company or any Subsidiary in connection with this Agreement shall be deemed to be material and to have been relied upon by the Lender, notwithstanding any investigation heretofore or hereafter made by the Lender and those covenants and agreements of the Company set forth in Section 3.6, 3.8 and 8.5 hereof shall survive the repayment in full of the Advances and the termination of the Commitment.

Reliance on and Survival of Various Provisions. All terms, covenants, agreements, representations and warranties of the Company and the Subsidiaries made herein or in any certificate, report, financial statement certificate or other document furnished by or on behalf of the Company or any Subsidiary in connection with this Agreement delivered pursuant hereto shall be deemed to be material and to have been relied upon by the LenderAgent and the Lenders, notwithstanding any investigation heretofore or hereafter made by any Lender or the Lender Agent on such Lender's behalf, and those covenants and agreements of the Company set forth in Section 3.6Sections 9.1, 3.8 9.2, and 8.5 hereof 10.5 shall survive the repayment in full of the Advances Loans and the termination of the CommitmentCommitments.

All terms, covenants, agreements, representations and warranties of the Company made herein or in any other Loan Document or in any certificate, report, financial statement or other document furnished by or on behalf of the Company or any Subsidiary in connection with this Agreement shall be deemed to be material and to have been relied upon by the LenderLenders, notwithstanding any investigation heretofore or hereafter made by the any Lender or on such Lender's behalf, and those covenants and agreements of the Company set forth in Section 3.63.7, 3.8 3.9 and 8.5 hereof shall survive the repayment in full of the Advances and the termination of the CommitmentCommitments.
