The Investor acknowledges that it has had the opportunity to review this Agreement and the transactions contemplated by this Agreement with its own legal counsel and tax advisors. Except for any statements or representations of the Company made in this Agreement and the SEC Documents (as defined below), the Investor is not relying on any other statements or representations of the Company or any of its representatives or agents with respect to such investment.
