Common use of Reliance on Documents Clause in Contracts

Reliance on Documents. So long as and to the extent that it is in good faith and in the exercise of reasonable care, State Street, as Depository and Custodian, shall not be responsible for the title, validity or genuineness of any property or evidence of title thereto received by it or delivered by it pursuant to this Agreement, shall be protected in acting upon any instructions, notice, request, consent, certificate or other instrument or paper reasonably believed by it to be genuine and to constitute proper instructions under this Agreement and shall, except as otherwise specifically provided in this Agreement, be entitled to receive as conclusive proof of any fact or matter required to be ascertained by it hereunder a certificate signed by the Fund's Trustees, the secretary or an assistant secretary of the Fund or any other person expressly authorized by the Trustees of the Fund.

Reliance on Documents. So long as as, and to the extent that that, it is in good faith and in the exercise of reasonable care, State Street, as Depository and Custodian, shall not be responsible for the title, validity or genuineness of any property or evidence of title thereto received by it or delivered by it pursuant to this Agreement, shall be protected in acting upon any instructions, notice, request, consent, certificate or other instrument or paper reasonably believed by it to be genuine and to constitute proper instructions Proper Instructions under this Agreement and shall, except as otherwise specifically provided in this Agreement, be entitled to receive as conclusive proof of any fact or matter required to be ascertained by it hereunder a certificate signed by the Fund's Trustees, the secretary Secretary or an assistant secretary Assistant Secretary of the Fund or any other person expressly authorized by the Board of Trustees of the Fund.

So long as and to the extent that it is in good faith and in the exercise of reasonable care, State Street, Street as Depository and Custodian, shall not be responsible for the title, validity or genuineness of any property or evidence of title thereto received by it or delivered by it pursuant to this Agreement, and shall be protected in acting upon any instructions, notice, request, consent, certificate or other instrument or paper reasonably reasonable believed by it to be genuine and to constitute proper instructions under this Agreement have been properly executed in accordance with Paragraph 5-A of Section II hereof and shall, except as otherwise specifically provided in this Agreement, be entitled to receive as conclusive proof of any fact or matter required to be ascertained by it hereunder a certificate signed by the Fund's Trustees, the secretary any Trustee or an assistant secretary Secretary of the Fund or any other person expressly authorized by the Trustees of the FundTrustees.
