Reliance Upon Representations, Warranties and Covenants. (A) The Affiliate has been informed that the treatment of the Reorganization for federal income tax purposes requires that a sufficient number of former stockholders of Vista Vacations maintain a meaningful continuing equity ownership interest in AmeriNet after the Reorganization. (B) The Affiliate understands that the representations, warranties and covenants of the Affiliate set forth herein will be relied upon by AmeriNet, Vista Vacations and their respective legal counsel and accounting firms.
