Common use of Remarketing of the VRDP Shares and the SRP Mandatory Tender Event Clause in Contracts

Remarketing of the VRDP Shares and the SRP Mandatory Tender Event. The Remarketing Agent shall remarket all VRDP Shares, subject to Mandatory Tender as a result of the occurrence of the SRP Mandatory Tender Event, directly to Citibank, N.A. in its individual capacity (and, for the avoidance of doubt, not in its capacity as Liquidity Provider pursuant to the Purchase Obligation).
