Remedies for Breach of Representations and Warranties of the Servicer. It is understood and agreed that the representations and warranties set forth in Section 6.01 shall survive the engagement of the Servicer to perform the servicing responsibilities as of the Closing Date or Servicing Transfer Date, as applicable, hereunder and the delivery of the Servicing Files to the Servicer and shall inure to the benefit of the Seller and the Trustee. Upon discovery by either the Servicer, the Master Servicer, the Seller, the Depositor or the NIMS Insurer of a breach of any of the foregoing representations and warranties which materially and adversely affects the ability of the Servicer to perform its duties and obligations under this Agreement or otherwise materially and adversely affects the value of the Mortgage Loans, the Mortgaged Property or the priority of the security interest on such Mortgaged Property or the interest of the Seller or the Trustee, the party discovering such breach shall give prompt written notice to the other.

Upon discovery by either the Servicer, the Master Servicer, the Seller, the Depositor or the NIMS Insurer Trust Administrator of a breach of any of the foregoing representations and warranties which that materially and adversely affects the ability of the Servicer to perform its duties and obligations under this Agreement or otherwise materially and adversely affects the value of the Mortgage Loans, the Mortgaged Property or the priority of the security interest on such Mortgaged Property or the interest interests of the Seller Master Servicer or the Trustee, the party discovering such breach shall give prompt written notice to the otherothers.

Upon discovery by either the Servicer, the Servicing Rights Owner, Master Servicer, the Seller, the Depositor Servicer or the NIMS Insurer Seller of a breach of any of the foregoing representations and warranties which materially and adversely affects the ability of the Servicer to perform its duties and obligations under this Agreement or otherwise materially and adversely affects the value of the Participation Mortgage Loans, the Mortgaged Property or the priority of the security interest on such Mortgaged Property or the interest of the Seller Seller, Servicing Rights Owner or the Trusteeapplicable Participants, the party discovering such breach shall give prompt written notice to the othereach other party.

Upon discovery by either the Servicer, the Master Servicer, the Seller, the Depositor Trustee or the NIMS Insurer either Seller of a breach of any of the foregoing representations and warranties which materially and adversely affects the ability of the Servicer to perform its duties and obligations under this Agreement or otherwise materially and adversely affects the value of the Mortgage Assistance Loans, the Mortgaged Property Collateral or the priority of the security interest on such Mortgaged Property Collateral or the interest of the each Seller (with respect to its related Assistance Loans) or the Trustee, the party discovering such breach shall give prompt written notice to the other.

Upon discovery by either the Servicer, the Master Servicer, the SellerGuarantor, the Depositor Trustee or the NIMS Insurer Seller of a breach of any of the foregoing representations and warranties which materially and adversely affects the ability of the Servicer to perform its duties and obligations under this Agreement or otherwise materially and adversely affects the value of the Mortgage Loans, the Mortgaged Property or the priority of the security interest on such Mortgaged Property or the interest of the Seller Seller, the Trustee or the Trustee, Guarantor the party discovering such breach shall give prompt written notice to the other.

It is understood and agreed that the representations and warranties set forth in Section 6.01 6.01(a) shall survive the engagement of the Servicer to perform the servicing responsibilities as of from and after the Closing Date or Servicing Transfer Date, as applicable, Date hereunder and the delivery of the Servicing Files to the Servicer and shall inure to the benefit of the Seller Master Servicer, the NIMS Insurer and the Trustee. Upon discovery by either the Servicer, the Master Servicer, the Seller, the Depositor Servicer or the NIMS Insurer of a breach of any of the foregoing representations and warranties which materially and adversely affects the ability of the Servicer to perform its duties and obligations under this Agreement or otherwise materially and adversely affects the value of the Mortgage Loans, the Mortgaged Property or the priority of the security interest on such Mortgaged Property or the interest interests of the Seller Master Servicer or the TrusteeNIMS Insurer, the party discovering such breach shall give prompt written notice to the other.

Upon discovery by either the Servicer, the Master Servicer, the Seller, the Depositor Servicer or the NIMS Insurer Seller of a breach of any of the foregoing representations and warranties which materially and adversely affects the ability of the Servicer to perform its duties and obligations under this Agreement or otherwise materially and adversely affects the value of the Mortgage Revolving Credit Loans, the Mortgaged Property or the priority of the security interest on such Mortgaged Property or the interest of the Seller Seller, the Trust or the Indenture Trustee, the party discovering such breach shall give prompt written notice to the other.
