Common use of Remedies for Title Benefits Clause in Contracts

Remedies for Title Benefits. Subject to Purchaser’s right to dispute the existence of a Title Benefit and the Title Benefit Amount asserted with respect thereto, Seller’s sole and exclusive remedy with respect to any Title Benefit shall be to offset the Title Defect Amounts that exceed the Individual Threshold pursuant to Section 6.1(f), but only to the extent the Title Benefit Amount of any such Title Benefit exceeds the Individual Threshold.

Remedies for Title Benefits. Subject to Purchaser’s right to dispute the existence of a Title Benefit and the Title Benefit Amount asserted with respect thereto, Seller’s sole and exclusive remedy Title Benefits shall be used solely for the purpose of offsetting any adjustment to the Unadjusted Purchase Price on account of Title Defects pursuant to ‎Section 3.2(g)(i), with respect to any the amount of offset for each Title Benefit shall be to offset the Title Defect Amounts that exceed the Individual Threshold pursuant to Section 6.1(f), but only to the extent being the Title Benefit Amount (not to exceed the amount of any such Title Benefit exceeds Defects resulting in adjustment to the Individual ThresholdUnadjusted Purchase Price).
