Common use of Remedies; Right of Set-Off Clause in Contracts

Remedies; Right of Set-Off. The remedies provided in this Section 13 shall not be deemed exclusive of or limit any other remedies that may be available to an Indemnitee. If a Buyer's Indemnitee is entitled to indemnification as provided in Sections 13.2, 13.3, and 13.4, Buyer shall have the right to set-off the entire amount thereof against the amounts, if any, that Buyer may owe Sellers, provided, it shall be a condition to the exercise of the right of set-off that Buyer gives Sellers notice specifying in reasonable detail the basis for such set-off. Neither the exercise of, nor the failure to exercise, such right of set-off will constitute an election of remedies or limit Buyer in any manner in the enforcement of any other remedies that may be available to it.
