Common use of REMEDIES/SANCTIONS Clause in Contracts

REMEDIES/SANCTIONS. Employee hereby acknowledges that the restrictions contained in Sections 9 (a), (b) and (c) and 10(a) above are reasonable and necessary for the protection of the legitimate business interests of Sabratek, for which monetary damages alone may not provide an adequate remedy, that any violation of these restrictions would cause substantial injury to Sabratek and such interests, that Sabratek would not have entered into this Agreement without receiving the additional consideration offered by Employee in binding himself to these restrictions and that such restrictions were a material inducement to Sabratek to enter into this Agreement. In the event of any violation or threatened violation of these restrictions, Sabratek (a) shall be relieved of any further obligations under the Agreement, (b) shall be entitled to monetary damages resulting from such violation, and (c) in addition to and not in limitation of, any other rights, remedies or damages available to Sabratek under this Agreement or otherwise at law or in equity, shall be entitled to preliminary and permanent injunctive relief to prevent or restrain any such violation by Employee and any and all persons directly or indirectly acting for or with him, as the case may be.
