Remedy for Failure to Achieve Minimum Commitment. If Nortel Networks fails to meet the Minimum Commitment for any reason other than those set out in Section 1.3.3(B), (C), (D) or (E) above, Nortel Networks shall compensate Flextronics [•]. The Parties will negotiate such costs in good faith.
