Common use of Removal and/or Replacement of Staff, Consultants, Contractors Clause in Contracts

Removal and/or Replacement of Staff, Consultants, Contractors. If, for any reason beyond the reasonable control of the UN Partner, it becomes necessary to substitute any member of the UN Partner’s team (including Staff, Consultants and Contractors) as included in Annex I, the UN Partner shall promptly replace such member with another having the required or better qualifications. In such cases, the UN Partner will submit to the Government a copy of the proposed candidate’s CV for review. If the Government does not object in writing stating a reasonable basis for its objection, within twenty one (21) calendar days from the date of the receipt of the CV, such substitution deemed to have been accepted by the Government. If the Government reasonably concludes that (i) any member of the UN Partner’s team as included in Annex I has engaged in serious misconduct or (ii) the performance of any of the team members is unsatisfactory, then the Government shall promptly share the sufficiently detailed information with the UN Partner specifying the grounds therefore. If, after receiving the Government’s written request, the UN Partner investigates the alleged misconduct or reviews the alleged unsatisfactory performance and concludes that the misconduct and/or the dissatisfaction with the performance of the team member justifies his/her replacement, the UN Partner will proceed with a replacement within the timeframe that is in line with the implementation schedule of this Agreement, subject to the UN Partner’s regulations, rules, policies and procedures.

If the Government reasonably concludes information that (i) any member of the UN Partner’s team as included in Annex I Staff or Consultants has engaged in serious misconduct a corrupt, fraudulent, collusive or (ii) coercive practice or reasonably concludes that the performance of any of the team members UN Partner’s Staff or Consultants is unsatisfactory, then the Government shall promptly share the sufficiently detailed information with the UN Partner specifying the grounds therefore. If, after receiving the Government’s written request, the UN Partner investigates the alleged misconduct corrupt, fraudulent, collusive or coercive practice or reviews the alleged unsatisfactory performance and concludes that the misconduct corrupt, fraudulent, collusive or coercive practice and/or the dissatisfaction with the performance of the team member UN Partner’s Staff or Consultant justifies his/her replacement, the UN Partner will proceed with a replacement within the timeframe that is in line with the implementation schedule of this Agreement, subject to the UN Partner’s regulations, rules, policies and procedures.

In such cases, the UN Partner will submit to the Government a copy of the proposed candidate’s CV for review. If Without prejudice to the foregoing, the Government does not object in writing stating a reasonable basis for its objection, shall notify the UN Partner within twenty one (21) calendar days from if there are reasonable concerns about the date qualifications of the receipt proposed candidate and the UN Partner shall make a good faith effort to take those concerns into account before proceeding with the replacement, which shall be within the timeframe in line with the implementation schedule of this Agreement, subject to the CVUN Partner’s regulations, such substitution deemed to have been accepted by the Governmentrules, policies and procedures. If the Government reasonably concludes that (i) any member of the UN Partner’s team as included in Annex I has engaged in serious misconduct or (ii) the performance of any of the team members is unsatisfactory, then the Government shall promptly share the sufficiently detailed information with the UN Partner specifying the grounds grounds, therefore. If, after receiving the Government’s written request, the UN Partner investigates the alleged misconduct or reviews the alleged unsatisfactory performance and concludes that the misconduct and/or the dissatisfaction with the performance of the team member justifies his/her replacement, the UN Partner will proceed with a replacement within the timeframe that is in line with the implementation schedule of this Agreement, subject to the UN Partner’s regulations, rules, policies and procedures. Without prejudice to the foregoing, should the misconduct or unsatisfactory performance regard any of the Consultants or Contractors of the team, the UN Partner shall notify the Government of its proposed replacement as set forth in clause 18 above.
