Common use of Removal and Possession Clause in Contracts

Removal and Possession. Secured Party may require Debtor to assemble the Collateral and make it available to Secured Party at any place designated by Secured Party which is reasonably convenient to both parties. Secured Party is entitled to immediate possession of all books and records pertaining to any of the Collateral. Secured Party may leave the Collateral on Debtor’s or any other party’s premises but under Secured Party’s control or may remove the Collateral from the premises of Debtor or from wherever located, and, for purposes of removal and possession, Secured Party or its representatives may enter any premises of Debtor without legal process and thereafter hold or store same, and Debtor waives and releases Secured Party from all claims in connection therewith or arising therefrom other than claims resulting from the gross negligence or willful misconduct of Secured Party, and Secured Party may maintain at Debtor’s expense on Debtor’s premises a custodian who may exercise Secured Party’s rights to protect the Collateral.
