Common use of Removal Resignation Clause in Contracts

Removal Resignation. (a) A Manager may be removed or replaced at any time from the Board, with or without cause, upon, and only upon, the written request of the Member that designated the applicable Manager. (b) A Manager may resign at any time from the Board by delivering his written resignation to the Board. Any such resignation shall be effective upon receipt thereof unless it is specified to be effective at some other time or upon the occurrence of some other event. The Board’s acceptance of a resignation shall not be necessary to make it effective.

Removal Resignation. The Board’s acceptance of a resignation shall not be necessary to make it effective.

(b) Member. A Manager may resign at any time from by giving written notice to the Board by delivering his written resignation to the Board. Any of Managers and such resignation notice shall be deemed effective upon receipt thereof unless it is specified to be effective at some other time or upon by the occurrence Board of some other event. The Board’s acceptance of a resignation shall not be necessary to make it effectiveManagers.

Removal Resignation. (a) The Member(s) holding a majority of the Class A Manager Units may be removed remove any or replaced all of the Managers at any time from the Boardand for any reason, with or without cause, upon, and only upon, the written request of the Member that designated the applicable Manager. (b) A Manager may resign at any time from the Board by delivering his or her written resignation to the Board. Any such resignation shall be effective upon receipt thereof unless it is specified to be effective at some other time or upon the occurrence of some other event.
