Common use of Remuneration to be authorised by the Board Clause in Contracts

Remuneration to be authorised by the Board. Subject to the Shareholders' Agreement and also section 107(1)(f) of the Companies Act, the Board may authorise the payment of remuneration or the provision of other benefits by the Company to a Director for services as a Director, but only if the Board is satisfied that to do so is fair to the Company.
