Common use of Renewal of a Letter of Credit Clause in Contracts

Renewal of a Letter of Credit. (a) A Borrower may request that any Letter of Credit issued on its behalf be renewed by delivery to the relevant Facility 1 Lender of a Renewal Request by the Specified Time. (b) The Finance Parties shall treat any Renewal Request in the same way as a Utilisation Request for a Letter of Credit except that the conditions set out in clause 5.2(a)(iv)(B), (C) and (E) (Completion of a Utilisation Request) shall not apply. (c) The terms of each renewed Letter of Credit shall be the same as those of the relevant Letter of Credit immediately prior to its renewal, except that: (i) its amount may be less than the amount of the Letter of Credit immediately prior to its renewal; and (ii) its Term shall start on the date which was the Expiry Date of the Letter of Credit immediately prior to its renewal, and shall end on the proposed Expiry Date specified in the Renewal Request. (d) If the conditions set out in this Agreement have been met, the relevant Facility 1 Lender shall (without prejudice to the uncommitted nature of the Facilities) amend and re-issue any Letter of Credit pursuant to a Renewal Request.

Renewal of a Letter of Credit. (a) A Borrower may request that any Letter of Credit issued on its behalf be renewed by delivery to the relevant Facility 1 Lender Agent of a Renewal Request by the Specified Time. (b) The Finance Parties shall treat any Renewal Request in the same way as a Utilisation Request for a Letter of Credit except that the conditions set out in clause 5.2(a)(iv)(B), paragraphs (Ce) and (Eg) of Clause ‎7.4 (Completion of a Utilisation RequestRequest for Letters of Credit) shall not apply. (c) The terms of each renewed Letter of Credit shall be the same as those of the relevant Letter of Credit immediately prior to its renewal, except that: (i) its amount may be less than the amount of the Letter of Credit immediately prior to its renewal; and (ii) its Term shall start on the date which was the Expiry Date of the Letter of Credit immediately prior to its renewal, and shall end on the proposed Expiry Date specified in the Renewal Request. (d) If the conditions set out in this Agreement have been met, the relevant Facility 1 Lender Issuing Bank shall (without prejudice to the uncommitted nature of the Facilities) amend and re-issue any Letter of Credit pursuant to a Renewal Request.

(d) If the conditions set out in this Agreement have been met, the relevant Facility 1 Lender Agent shall (without prejudice to the uncommitted nature of the Facilities) amend and re-issue any Letter of Credit pursuant to a Renewal Request.

Renewal of a Letter of Credit. (a) A Borrower SMO may request that any Letter of Credit issued on its behalf be renewed by delivery to the relevant Facility 1 Lender Agent of a Renewal Request written notice by the Specified TimeTime (a "Renewal Request"). (b) The Finance Parties shall treat any Renewal Request in the same way as a Utilisation Request for a Letter of Credit (including, for the avoidance of doubt, Clause 6.6(d)) except that the conditions set out in clause 5.2(a)(iv)(B), paragraphs (Cd) and (Eg) of Clause 6.4 (Completion of a Utilisation RequestRequest for Letters of Credit) shall not apply. (c) The terms of each renewed Letter of Credit shall be the same as those of the relevant Letter of Credit immediately prior to its renewal, except that: (i) its amount may be less than the amount of the Letter of Credit immediately prior to its renewal; and (ii) its Term shall start on the date which was the Expiry Maturity Date of the Letter of Credit immediately prior to its renewal, and shall end on the proposed Expiry Maturity Date specified in the Renewal Request. (d) If the conditions set out in this Agreement have been met, the relevant Facility 1 Lender Issuing Bank shall (without prejudice to the uncommitted nature of the Facilities) amend and re-issue any Letter of Credit pursuant to a Renewal Request.

Renewal of a Letter of Credit. (a) A Borrower may request that any Letter of Credit issued on its behalf be renewed by delivery to the relevant Facility 1 Lender Agent of a Renewal Request by the Specified Time. (b) The Finance Parties shall treat any Renewal Request in the same way as a Utilisation Request for a Letter of Credit except that the conditions set out in clause 5.2(a)(iv)(B), (C12.4(f) and (E12.4(i) (Completion of a Utilisation RequestRequest for Letters of Credit) shall not apply. (c) The terms of each renewed Letter of Credit shall be the same as those of the relevant Letter of Credit immediately prior to its renewal, except that: (i) its amount may be less or more than the amount of the Letter of Credit immediately prior to its renewal; and (ii) its Term shall start on the date which was the Expiry Date of the Letter of Credit immediately prior to its renewalrenewal (or such earlier date as is specified in the Renewal Request), and shall end on the proposed Expiry Date specified in the Renewal Request. (d) If the conditions set out in this Agreement have been met, the relevant Facility 1 Lender Fronting Bank shall (without prejudice to the uncommitted nature of the Facilities) amend and re-issue any Letter of Credit pursuant to a Renewal Request.

(a) A The Borrower may request that any Letter of Credit issued on its behalf be renewed by delivery to the relevant Facility 1 Lender Agent of a Renewal Request in substantially similar form to a Utilisation Request for a Letter of Credit by the Specified Time. (b) The Finance Parties shall treat any Renewal Request in the same way as a Utilisation Request for a Letter of Credit except that the conditions set out in clause 5.2(a)(iv)(B), paragraph (Ca)(vii) and (E) of Clause 6.3 (Completion of a Utilisation RequestRequest for Letters of Credit) shall not apply. (c) The terms of each renewed Letter of Credit shall be the same as those of the relevant Letter of Credit immediately prior to its renewal, except that: (i) its amount may (including in the circumstances referred to in Clause 6.7 (Reduction of a Letter of Credit) be less than the amount of the Letter of Credit immediately prior to its renewal; and (ii) its Term shall start on the date which was the Expiry Date of the Letter of Credit immediately prior to its renewal, and shall end on the proposed Expiry Date specified in the Renewal Request. (d) If the conditions set out in this Agreement have been met, the relevant Facility 1 Lender shall (without prejudice to the uncommitted nature of the Facilities) amend and re-issue any Letter of Credit pursuant to a Renewal Request.

Renewal of a Letter of Credit. (a) A Borrower may request that any Letter of Credit issued on its behalf be renewed by delivery to the relevant Facility 1 Lender Agent of a Renewal Request by the Specified Time. (b) The Finance Parties shall treat any Renewal Request in the same way as a Utilisation Request for a Letter of Credit except that the conditions condition set out in clause 5.2(a)(iv)(B), paragraph (Cd) and (E) of Clause 5A.4 (Completion of a Utilisation RequestRequest for Letters of Credit) shall not apply. (c) The terms of each renewed Letter of Credit shall be the same as those of the relevant Letter of Credit immediately prior to its renewal, except that: (i) its amount may be less than the amount of the Letter of Credit immediately prior to its renewal; and (ii) its Term shall start on the date which was the Expiry Date of the Letter of Credit immediately prior to its renewal, and shall end on the proposed Expiry Date specified in the Renewal Request. (d) If the conditions set out in this Agreement have been met, the relevant Facility 1 Lender Issuing Bank shall (without prejudice to the uncommitted nature of the Facilities) amend and re-issue any Letter of Credit pursuant to a Renewal Request.

Renewal of a Letter of Credit. (ai) A The Borrower may request that any Letter of Credit issued on its behalf be renewed by delivery to the relevant Facility 1 Lender Agent of a Renewal Request by the Specified Time. (bii) The Finance Parties parties shall treat any Renewal Request in the same way as a Utilisation Request for a Letter of Credit except that the conditions set out in clause 5.2(a)(iv)(B), subparagraphs (Cii)(D) and (Eii)(H) of Clause 6.2(a) (Completion of a Utilisation Request) shall not apply. (ciii) The terms of each renewed Letter of Credit shall be the same as those of the relevant Letter of Credit immediately prior to its renewal, except that: (iA) its amount may be less than the amount of the Letter of Credit immediately prior to its renewal; and (iiB) its Term shall start on the date which was the Expiry Date of the Letter of Credit immediately prior to its renewal, and shall end on the proposed Expiry Date maturity date specified in the Renewal Request. (div) If the conditions set out in this Agreement have been met, the relevant Facility 1 Lender Agent shall (without prejudice to the uncommitted nature of the Facilities) amend and re-issue any Letter of Credit pursuant to a Renewal Request.

Renewal of a Letter of Credit. (a) A Borrower (or the Company on its behalf) may request that any Letter of Credit issued on its behalf of that Borrower be renewed by delivery to the relevant Facility 1 Lender Agent of a Renewal Request in substantially similar form to a Utilisation Request for a Letter of Credit by the Specified Time. (b) The Finance Parties shall treat any Renewal Request in the same way as a Utilisation Request for a Letter of Credit except that the conditions set out in clause 5.2(a)(iv)(B), paragraph (Ch) and (E) of Clause 6.3 (Completion of a Utilisation RequestRequest for Letters of Credit) shall not apply. (c) The terms of each renewed Letter of Credit shall be the same as those of the relevant Letter of Credit immediately prior to its renewal, except that: (i) its amount may be less than the amount of the Letter of Credit immediately prior to its renewal; and (ii) its Term shall start on the date which was the Expiry Date of the Letter of Credit immediately prior to its renewal, and shall end on the proposed Expiry Date specified in the Renewal Request. (d) If the conditions set out in this Agreement have been met, the relevant Facility 1 Lender Issuing Bank shall (without prejudice to the uncommitted nature of the Facilities) amend and re-issue any Letter of Credit pursuant to a Renewal Request.

Renewal of a Letter of Credit. (a) A Borrower may request that any Letter of Credit issued on its behalf be renewed by delivery to the relevant Facility 1 Lender Agent of a Renewal Request by the Specified Time. (b) The Finance Parties shall treat any Renewal Request in the same way as a Utilisation Request for a Letter of Credit except that the conditions set out in clause 5.2(a)(iv)(B), paragraph (Cd) and (Eg) of Clause 6.4 (Completion of a Utilisation RequestRequest for Letters of Credit) shall not apply. (c) The terms of each renewed Letter of Credit shall be the same as those of the relevant Letter of Credit immediately prior to its renewal, except that: (i) its amount may be less than the amount of the Letter of Credit immediately prior to its renewal; and (ii) its Term shall start on the date which was the Expiry Date of the Letter of Credit immediately prior to its renewal, and shall end on the proposed Expiry Date specified in the Renewal Request. (d) If the conditions set out in this Agreement have been met, the relevant Facility 1 Lender Issuing Bank shall (without prejudice to the uncommitted nature of the Facilities) amend and re-issue any Letter of Credit pursuant to a Renewal Request.

(c) The terms of each renewed Letter of Credit shall be the same as those of the relevant Letter of Credit immediately prior to its renewal, except that: (i) its amount may be less than the amount of the Letter of Credit immediately prior to its renewal; and (ii) its Term shall start on the date which was the Expiry Date of the Letter of Credit immediately prior to its renewal, and shall end on the proposed Expiry Date maturity date specified in the Renewal Request. (d) If the conditions set out in this Agreement have been met, the relevant Facility 1 Lender Agent shall (without prejudice to the uncommitted nature of the Facilities) amend and re-issue any Letter of Credit pursuant to a Renewal Request.

Renewal of a Letter of Credit. (a) A The Borrower may request that any Letter of Credit issued on its behalf be renewed by the relevant Issuing Bank by delivery to the relevant Facility 1 Lender Administrative Agent of a Renewal Request by the Specified Time. (b) The Finance Parties shall treat any Renewal Request in the same way as a Utilisation Request for a Letter of Credit except that the conditions set out in clause 5.2(a)(iv)(B), paragraphs (Cd) and (Eh) of Clause 6.4 (Completion of a Utilisation RequestRequest for Letters of Credit) shall not apply. (c) The Subject to the approval of the Issuing Bank, the terms of each renewed Letter of Credit shall be the same as those of the relevant Letter of Credit immediately prior to its renewal, except that: (i) its amount may be less than the amount of the Letter of Credit immediately prior to its renewal; and (ii) its Term shall start on the date which was the Expiry Date of the Letter of Credit immediately prior to its renewal, and shall end on the proposed Expiry Date specified in the Renewal Request. (d) If the conditions set out in this Agreement have been met, the relevant Facility 1 Lender applicable Issuing Bank shall (without prejudice to the uncommitted nature of the Facilities) amend and re-issue any Letter of Credit pursuant to a Renewal Request.

Renewal of a Letter of Credit. (a) A Borrower may request that any Letter of Credit issued on its behalf be renewed by delivery to the relevant Facility 1 Lender of a Renewal Request by the Specified Time. (c) The terms of each renewed Letter of Credit shall be the same as those of the relevant Letter of Credit immediately prior to its renewal, except that: (i) its amount may be less than the amount of the Letter of Credit immediately prior to its renewal; and (ii) its Term shall start on the date which was the Expiry Date of the Letter of Credit immediately prior to its renewal, and shall end on the proposed Expiry Date specified in the Renewal Request. (d) If the conditions set out in this Agreement have been met, the relevant Facility 1 Lender shall (without prejudice to the uncommitted nature of the Facilities) amend and re-issue any Letter of Credit pursuant to a Renewal Request.

Renewal of a Letter of Credit. (a) A Borrower (or the Parent on its behalf) may request that any Letter of Credit issued on its behalf of that Borrower be renewed by delivery to the relevant Facility 1 Lender Agent of a Renewal Request in substantially similar form to a Utilisation Request for a Letter of Credit by the Specified Time. (b) The Finance Parties shall treat any Renewal Request in the same way as a Utilisation Request for a Letter of Credit except that the conditions set out in clause 5.2(a)(iv)(B), paragraph (Cf) and (E) of Clause 6.3 (Completion of a Utilisation RequestRequest for Letters of Credit) shall not apply. (c) The terms of each renewed Letter of Credit shall be the same as those of the relevant Letter of Credit immediately prior to its renewal, except that: (i) its amount may be less than the amount of the Letter of Credit immediately prior to its renewal; and (ii) its Term shall start on the date which was the Expiry Date of the Letter of Credit immediately prior to its renewal, and shall end on the proposed Expiry Date specified in the Renewal Request. (d) If the conditions set out in this Agreement have been met, the relevant Facility 1 Lender Issuing Bank shall (without prejudice to the uncommitted nature of the Facilities) amend and re-issue any Letter of Credit pursuant to a Renewal Request.
