Reorganization Event. Upon the occurrence of a “Change in Control,” all of the RSUs that (but for the application of this clause) are not vested at the time of the occurrence of such Change in Control event shall vest. In taking any of the actions permitted under this Section 7(a), the Board shall not be obligated by the Plan or this Agreement to treat all Awards under the Plan, all Awards held by Participant, or all Awards of the same type, identically.
(b) Notwithstanding the terms of Section 7(a), in the case of an outstanding securitiesAward that is subject to Section 409A of the Internal Revenue Code and the guidance thereunder (“Section 409A”): (i) if another agreement between the Participant and the Company provides that the Award shall be settled upon a “change in control event” within the meaning of Treasury Regulation Section 1.409A-3(i)(5)(i), and the Reorganization Event constitutes such a “change in control event”, then no assumption or substitution shall be permitted pursuant to Section 7(a)(i) and the Award shall instead be settled in accordance with the terms of the applicable agreement; and (ii) individuals whothe Board may only undertake the actions set forth in clauses (ii), (iii), (iv), (v) or (vi) of Section 7(a) if the Reorganization Event constitutes a “change in control event” as defined under Treasury Regulation Section 1.409A-3(i)(5)(i) and/or such action is permitted or required by Section 409A of the Grant Date, constitute Code; if the Board of Directors Reorganization Event is not a “change in control event” as so defined or such action is not permitted or required by Section 409A of the Company Code, and the acquiring or succeeding corporation does not assume or substitute the Award pursuant to clause (the “Incumbent Board”i) of Section 7(a), cease then the unvested portion of the Award shall terminate immediately prior to the consummation of the Reorganization Event without any payment in exchange therefor.
(c) For purposes of Section 7(a)(i), the Award shall be considered assumed if, following consummation of the Reorganization Event, such award confers the right to receive pursuant to the terms of such award, for any reason each Share subject to constitute the Award immediately prior to the consummation of the Reorganization Event, the consideration (whether cash, securities or other property) received as a result of the Reorganization Event by holders of Common Stock for each share of Common Stock held immediately prior to the consummation of the Reorganization Event (and if holders were offered a choice of consideration, the type of consideration chosen by the holders of a majority thereof (of the outstanding Common Stock); provided, however, that an individual becoming a director subsequent to if the Grant Date whose election, or nomination for election by the Company’s stockholders, was approved by at least a majority of the directors then comprising the Incumbent Board shall be included within the definition of Incumbent Board, but excluding, for this purpose, any such individual whose initial assumption of office occurs consideration received as a result of either an actual election contest the Reorganization Event is not solely common stock of the acquiring or succeeding corporation (or such terms used in Rule 14a-11 of Regulation 14A promulgated under an affiliate thereof), the Exchange Act) or other actual or threatened solicitation of proxies or consents by or on behalf of a person other than Company may, with the Board of Directors consent of the Company); acquiring or (iii) succeeding corporation, provide for the stockholders consideration to be received upon the exercise or settlement of the Company consummate a merger or consolidation award to consist solely of such number of shares of common stock of the Company with any other corporation, other than a merger acquiring or consolidation succeeding corporation (or an affiliate thereof) that would result the Committee determined to be equivalent in the voting securities value (as of the Company date of such determination or another date specified by the Committee) to the per share consideration received by holders of outstanding immediately prior thereto continuing to represent (either by remaining outstanding or by being converted into voting securities Common Stock as a result of the surviving entity) at least fifty percent of the combined voting power of the voting securities of the Company or such surviving entity outstanding immediately after such merger or consolidationReorganization Event.
