Reorganization Status Information Reporting. Each of the parties agrees to file whatever information returns may be required to treat the merger of URSI and the COMPANY pursuant to this Agreement as a reorganization described in Section 368(a)(1)(A) of the Code, and, in particular, to comply with the tax reporting requirements of Section 1.368-3 of the Treasury Regulations.
