Repayment Assets Clause Samples

Repayment Assets. Effective as of the applicable Transfer Date, the Abbott Group shall be entitled to all Employee Recoupment Assets in respect of Abbott Retained Employees and Abbott Former Employees, and the AbbVie Group shall be entitled to all Employee Recoupment Assets in respect of AbbVie Employees and AbbVie Former Employees. Without limiting the generality of the foregoing, the Abbott Group hereby assigns to the AbbVie Group, effective as of the applicable Transfer Date, all rights and obligations relating to any Employee Recoupment Assets of the Abbott Group in respect of any AbbVie Employee or AbbVie Former Employee.

Repayment Assets. Effective as of the Distribution Date, the Emergent Group shall be entitled to all Employee Recoupment Assets in respect of Emergent Employees, and the Aptevo Group shall be entitled to all Employee Recoupment Assets in respect of Aptevo Employees. Without limiting the generality of the foregoing, the Emergent Group hereby assigns to the Aptevo Group, effective as of the Distribution Date, all rights and obligations relating to any Employee Recoupment Assets of the Emergent Group in respect of any Aptevo Employee.

Repayment Assets. Effective as of the Distribution Date, (i) the Company Group shall be entitled to, and, to the extent necessary, the SpinCo Group hereby assigns to the Company Group, all Employee Recoupment Assets in respect of Company Group Employees, Former Company Group Employees and Other Company Service Providers and (ii) the SpinCo Group shall be entitled to, and, to the extent necessary, the Company Group hereby assigns to the SpinCo Group, all Employee Recoupment Assets in respect of SpinCo Group Employees, Former SpinCo Group Employees and Other SpinCo Service Providers.
