Replace and Supersede. This Lease replaces and supersedes in all --------------------- respects the Original Mill II Lease, which Original Mill II Lease shall, from and after the date hereof, be of no further force or effect.

For the avoidance of doubt, termination of the Original Management Agreement shall not result in any termination fees.
