Common use of Replacement Certificates and Warrants Clause in Contracts

Replacement Certificates and Warrants. (a) The certificate(s) representing the Preferred Shares held by any Investor (or then holder) may be exchanged by such Investor (or such holder) at any time and from time to time for certificates with different denominations representing an equal aggregate number of Preferred Shares, as reasonably requested by such Investor (or such holder) upon surrendering the same. No service charge will be made for such registration or transfer or exchange. (b) The Warrants are exchangeable at the option of the Investor (or then holder of the Warrants) at the office of Alteon for other Warrants of different denominations entitling the holder thereof to purchase in the aggregate the same number of Warrant Shares as are purchasable under such Warrants. No service charge will be made for such transfer or exchange.
