Replacement Costs. The term “replacement cost” shall mean the actual replacement cost of the insured property from time to time with new materials and workmanship of like kind and quality (including the cost of compliance with changes in zoning and building codes and other laws and regulations, demolition and debris removal and increased cost of construction). If Landlord believes that the replacement cost has increased at any time during the Term, it shall have the right to have such replacement cost determined by an impartial appraiser reasonably acceptable to both parties (the “impartial appraiser”). The determination of the impartial appraiser shall be final and binding, and, as necessary, Tenant shall increase, but not decrease, the amount of the insurance carried pursuant to this section to the amount so determined by the impartial appraiser. Each party shall pay one-half (1/2) of the fee, if any, of the impartial appraiser. If Tenant has made Alterations, Landlord may at Tenant’s expense have the replacement cost redetermined at any time after such Alterations are made.
Replacement Costs. The Sponsoring Companies shall reimburse Corporation for the difference between (a) the total cost of replacements chargeable to property and plant made by Corporation during any month prior thereto (and not previously reimbursed) and (b) the amounts received by Corporation as proceeds of fire or other applicable insurance protection, or amounts recovered from third parties responsible for damages requiring replacement, plus provision for all taxes on income on such difference; provided that, to the extent that the Corporation arranges for the financing of any replacements, the payments due under this Section 7.01 shall equal the amount of all principal, interest, taxes and other costs and expenses related to such financing during any month. Each Sponsoring Company’s share of such payment shall be the percentage of such costs represented by its Power Participation Ratio. The term cost of replacements, as used herein, shall include all components of cost, plus removal expense, less salvage.

For purposes of this Addendum, “Replacement Costs” shall mean, for any given Hour when QF does not deliver energy from the ▇▇▇▇ to the Interconnection Point as requested by Alabama Power (including through AGC signals), the sum of: (a) the product of: (1) the amount of such energy requested by Alabama Power (including through AGC signals) that is not delivered, multiplied by (2) the difference of the Replacement Price for such Hour minus the price that Alabama Power would have paid for such energy under this Addendum if it had been delivered; plus (b) all energy imbalance charges, transmission costs, penalties, charges and other costs and expenses that Alabama Power incurs as a result of the non-delivery of such energy or as a result of purchasing energy to replace such energy, including pursuant to applicable transmission or other tariffs; provided, however, that if the foregoing sum of (a) and (b) is a negative amount for a given Hour, then the Replacement Costs for such Hour shall be deemed to be equal to zero dollars ($0.00). In addition to the foregoing definition of Replacement Costs, the following terms shall have the respective meanings below:

Any student that is delinquent for one month will be assessed the above listed replacement cost and any unpaid late fees to their student billing account, which will be subject to all collection processes. Faculty and staff with overdue items will have the fines and/or reimbursement for a lost or stolen device deducted from their pay if the items have not been returned one month after the due date.
