Replacement Notes Certificates. The Agent shall not deliver any replacement Notes Certificate: (a) if the Notes Certificate being replaced has been mutilated or defaced otherwise than against the surrender of the same; and (b) until the claimant of the Notes Certificate has: (i) provided to the Agent such evidence, security and indemnity as the relevant Issuer and/or Agent may reasonably require; and (ii) paid such costs and expenses as may be incurred in connection with such replacement.
