Common use of Replacement of Key Personnel Clause in Contracts

Replacement of Key Personnel. 19.4.1. The Judicial Council reserves the right, in its sole discretion, to disapprove of, or request replacement of, any Key Personnel designated by Consultant. 19.4.2. Judicial Council shall have the sole discretion to approve Consultant’s replacement Key Personnel. Any such replacement shall be by written Amendment to the applicable Service Work Order. 19.4.3. If, through no fault, action, or inaction of Consultant, a Key Personnel becomes incapacitated or is otherwise rendered unavailable to work during the period of performance of an authorized Service Work Order, Consultant shall promptly designate a replacement that possesses the equivalent experience and skills. 19.4.4. If Consultant cannot furnish a replacement acceptable to the Judicial Council, the Judicial Council may terminate the applicable Service Work Order.
