Common use of Replacement of the Agent, the Swingline Agent or the Issuing Agent Clause in Contracts

Replacement of the Agent, the Swingline Agent or the Issuing Agent. (a) After consultation with the Parent, the Majority Lenders may, by giving thirty (30) days’ notice to the Agent, the Swingline Agent or the Issuing Agent (or, where any one of them is an Impaired Agent, by giving such shorter notice agreed to by the Majority Lenders), replace the Agent, the Swingline Agent or the Issuing Agent (as applicable) by appointing a successor which shall be a bank with offices in the United States and Italy, or an Affiliate of any such bank with offices in the United States and Italy.
