Common use of Report on Compliance with Servicing Criteria Pursuant to Item 1122 of Regulation AB Clause in Contracts

Report on Compliance with Servicing Criteria Pursuant to Item 1122 of Regulation AB. On or before the 90th day following the end of each fiscal year of the Transferor, beginning March 31, 2014, for so long as the Transferor is required to report under the Exchange Act and in order to comply with Item 1122 of Regulation AB, the Servicer shall deliver to the Trustee, the Transferor, any Credit Enhancement Provider and each Rating Agency, a report assessing its compliance with the Servicing Criteria during the immediately preceding calendar year, as required under paragraph (b) of Rule 13a-18 and Rule 15d-18 of the Exchange Act and Item 1122 of Regulation AB. Such report, substantially in the form of Exhibit D-3 (the “Servicing Criteria Compliance Report”), shall address the Servicing Criteria, as set forth on Schedule I attached to such Servicing Criteria Compliance Report, except for any of the Servicing Criteria that the Servicer has determined is inapplicable to the servicing activities it performed during the immediately preceding calendar year. A copy of such Servicing Criteria Compliance Report may be obtained by any Investor Certificateholder by a request in writing to the Indenture Trustee addressed at the Corporate Trust Office.

On or before the 90th day following the end March 15 of each fiscal year of the TransferorDepositor, beginning on March 3115, 20142008, for so long as the Transferor Depositor is required to report under the Exchange Act and in order to comply with Item 1122 of Regulation AB, the Servicer shall deliver to the Indenture Trustee, the TransferorOwner Trustee, any Credit Enhancement Provider and each Rating Agency, a report assessing its compliance with the Servicing Criteria servicing criteria specified in paragraph (d) of Item 1122 of Regulation AB during the immediately preceding calendar year, as required under paragraph (b) of Rule 13a-18 and Rule 15d-18 15d-19 of the Exchange Act and Item 1122 of Regulation AB. Such report, substantially in the form of Exhibit D-3 C-2 (the “Servicing Criteria Compliance Report”), shall address the Servicing Criteriaservicing criteria specified in paragraph (d) of Item 1122 of Regulation AB, as set forth on Schedule I attached to such Servicing Criteria Compliance Report, except for any of the Servicing Criteria servicing criteria that the Servicer has determined is inapplicable to the servicing activities it performed during the immediately preceding calendar year. Unless otherwise changed by Depositor, the fiscal year of the Depositor begins on January 1 and ends on December 31. A copy of such Servicing Criteria Compliance Report may be obtained by any Investor Certificateholder Noteholder by a request in writing to the Indenture Trustee addressed at to the Corporate Trust Office.
