Reporting and Disclosure Requirements. Seller shall be responsible for filing all annual reports and satisfying all other reporting and disclosure requirements with respect to any Employee Benefit Plan for all Plan Years ending prior to the Closing Date. Employee Records Buyer shall grant Seller full access to all employee records relating to the Transferred Employees to the extent necessary to enable Seller to comply with its obligations hereunder.
