Reporting Authority. Executive shall report directly to the Board. The Company agrees that during the Term Executive shall (in addition to serving as a member of the Board as indicated in subsection (a) above) serve as an officer of TopCo and as a director and officer of the other members of the Company Group. The Company acknowledges and agrees that Executive’s signature authority on behalf of the members of the Company Group and any “Company Vehicles” (as defined in the “Founders Agreement” (as defined below)), as it existed immediately prior to the Effective Date, shall be maintained at all times during Executive’s employment.
