With respect to each Asset, the Transferor will be responsible for submitting all tax information returns with all applicable Governmental Authorities for all applicable periods prior to the respective Servicing Transfer Date, and the Company will be responsible for submitting all tax information returns with all applicable Governmental Authorities for all applicable periods commencing with the respective Servicing Transfer Date. Information returns include reports on Internal Revenue Service Forms 1098 and 1099. The Company will be responsible for submitting all information returns required under applicable Law of any Foreign Jurisdiction, to the extent such information returns are required to be filed by the Company or the Transferor under such Law, relating to the Assets, for the calendar or tax year in which the Closing Date falls and thereafter.
