Reports; Inspections. Lessee will cause to be furnished to Lessor, if requested, from time-to-time a statement showing the condition and such other information regarding the Equipment as Lessor may reasonably request. Lessor and any Assignee shall have the right, upon reasonable notice to Lessee, to inspect the Equipment including Lessee's records with respect to the Equipment, to copy such records, and to inspect and copy Lessee's records with respect to the financial statements Lessee is required to furnish Lessor or has warranted to Lessor pursuant to this Lease. Any inspection by Lessor or any Assignee shall not be deemed to be approval or acknowledgment by Lessor or such Assignee of the safety, freedom from defects, performance or compliance with specifications or governmental requirements of the Equipment or of the conformity of the Equipment or such financial statements to the requirements or warranties of this Lease, and the disclaimers set forth in the provisions of this Master Lease on disclaimer of warranties shall apply to any such inspection. Lessee shall pay or reimburse Lessor for Lessor's costs and travel expenses for one such inspection per year, and for Lessor's costs, travel expenses and salaries and the charges and such expenses of Lessor's advisers for the inspection following an inspection which encountered a breach of the requirements of this Lease or the warranties of Lessee pursuant to this Lease.

Reports; Inspections. (a) For as long as this Agreement remains in effect, the Trustee hereby agrees to provide to the Shared Payment and Collateral Agent and the Grantors quarterly statements, within 5 (five) Business Days after the end of each calendar quarter, with respect to the assets constituting the Assets, as well as any investments with respect thereto. (b) Also, the Trustee agrees to provide to the Shared Payment or Collateral Agent and the Grantors all the information reasonably requested by either of them in connection with this Agreement and the Assets prior written notice given with at least 2 (two) Business Days of anticipation. (c) The Shared Payment and Collateral Agent and the Grantors, through their designees, may inspect the files kept by the Trustee with respect to this Trust, at any time during the effectiveness of this Agreement. For such purposes, the Shared Payment and Collateral Agent and the Grantors, as the case may be, shall give written notice to the Trustee, at least 3 (three) Business Days prior to the date proposed for the inspection. Any inspection shall be carried out during business hours.

Any inspection by Lessor or any Assignee shall not be deemed to be approval or acknowledgment by Lessor or such Assignee of the safety, freedom from defects, performance or compliance with specifications or governmental requirements of the Equipment or of the conformity of the Equipment to the requirements or warranties of this Lease, and the disclaimers set forth in the provisions of this Master Agreement on disclaimer of warranties shall apply to any such inspection.

For as long as this Trust remains in effect, the Trustee hereby agrees to provide to each of the Settlors monthly statements, within ten (10) Business Days after the end of each calendar month, with respect to the Trust Assets, as well as any investments with respect thereto. b. Reports; Inspections. (i) The Company shall deliver to the Trustee and the Purchaser (A) upon request, copies of all such regular or periodic reports, which are available for public inspection, which the Company may be required to file with any federal or state department, bureau, commission, or agency, (B) such financial data as the Trustee or the Purchaser may reasonably request and which is reasonably available to the Company, and (C) copies of any statements, notices, certificates, and other information required to be furnished to the Authority under this Agreement on the date such information is required to be so furnished. (ii) The Company shall permit, and shall cause each of its Affiliates to permit, any Person designated by the Authority, the Trustee or the Purchaser, at their own expense, to visit and inspect the properties of the Company and each of its Affiliates and to examine the books and records, including financial records of the Company, its Affiliates, and make copies or extracts thereof, and to discuss the affairs, finances, and accounts of the Company, its Affiliates, with its and their officers, at such reasonable times as the Authority or the Trustee may reasonably request.

Reports; Inspections. The District, or Owner on behalf of the District, shall employ a consulting engineer who will, during the construction of Infrastructure, submit to the Board, PUC and TCEQ’s executive director detailed written reports showing whether the Infrastructure is being constructed in accordance with plans and specifications and the contractor is complying with all contract documents. City inspectors or third party inspectors pursuant to the City’s third party inspection process shall inspect and test the Infrastructure. The District, or Owner on behalf of the District, shall pay all Infrastructure Inspection Fees. The City shall use its best efforts to cooperate with the District’s consulting engineer to prepare inspection reports in a form acceptable to TCEQ and PUC. City, however, in no way guarantees that the Infrastructure will be constructed in a manner acceptable to TCEQ/PUC or that TCEQ/PUC will approve the issuance of Bonds.
